Eligibility: By using ShipmentExpert, you represent and warrant that you are authorized to bind your company and are utilizing the services strictly for legitimate business purposes.
ShipmentExpert provides an automated software platform that analyzes shipping manifests, tracking information, and invoices from major shipping carriers. Our automated systems are designed to identify eligible claims for late deliveries and billing inaccuracies, but results may vary.
Where authorized, ShipmentExpert may submit claims or generate claim-ready data for customer review on your behalf.
To utilize ShipmentExpert, you must grant us authorization to access your carrier accounts via secure API integration.
As a Customer of ShipmentExpert, you are responsible for the following:
Prohibited Uses:
You may not reverse engineer the software, abuse the APIs, upload malicious code, resell unauthorized access to the platform, use the services unlawfully, or interfere with our systems in any way.
Depending on your selected plan, ShipmentExpert operates on a monthly subscription rate or a commission-based model.
License: ShipmentExpert grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the platform during your active subscription.
Intellectual Property: ShipmentExpert retains all rights, title, and interest in its software, algorithms, dashboards, trademarks, and performance reports. This explicitly excludes your Customer Data, which remains entirely yours.
Availability Disclaimer
ShipmentExpert is provided on an "AS IS" and "AS AVAILABLE" basis. We offer no absolute guarantees of uninterrupted service due to maintenance, API outages, or external factors.
Force Majeure
ShipmentExpert assumes no liability for service outages or failures caused by natural disasters, internet failures, carrier API outages, government actions, or other circumstances beyond our reasonable control.
Both parties agree to protect and maintain the confidentiality of each other's proprietary information, business data, and trade secrets shared during the course of using the Service.
Modifications: ShipmentExpert reserves the right to improve, suspend, or discontinue any features of the Service at any time. We will endeavor to notify you of significant changes.
Termination: You may terminate your agreement at any time by disabling the API integration. We reserve the right to suspend or terminate your account if we determine you have violated these Terms. Outstanding commission fees corresponding to claims recovered prior to termination remain due.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Your State/Country Jurisdiction], without regard to its conflict of law provisions.
Disputes: In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached, the dispute will be escalated to binding arbitration or the appropriate regional courts.
